Terms of Service

Welcome to Lodfy. These Terms of Service ("Terms") govern your access to and use of the Lodfy platform, websites, and related services (collectively, the "Service") operated by Lodfy ("Lodfy", "we", "us", or "our"). By creating an account or using the Service you agree to be bound by these Terms.

1. Who can use Lodfy

Lodfy is a business-to-business platform for KYB-verified companies active in physical commodity trading. To use the Service you must be at least 18 years old, authorised to bind the company you represent, and able to complete our Know Your Business ("KYB") verification. We may refuse, suspend, or terminate accounts that fail verification or that we reasonably believe pose risk.

2. What Lodfy is — and is not

Lodfy provides verification, listing, supply-chain mapping, fund-chain mapping, document management, and communication tools that help counterparties assess each other before transacting. Lodfy is not a party to any trade, is not a broker-dealer, is not a financial institution, does not provide escrow, does not transfer title to goods, and does not guarantee the performance of any user. All trades, contracts, payments, deliveries, and inspections are the sole responsibility of the parties involved.

3. Accounts and verification

You are responsible for the accuracy of information you submit, including company registration documents, beneficial ownership data, banker's comfort letters, letters of intent, certificates of origin, proof of goods, and supply and fund chain disclosures. You must keep your credentials confidential and notify us promptly of any unauthorised access.

4. Subscriptions and billing

Paid plans (Starter, Professional, Enterprise) are billed in advance on a monthly or annual basis. Fees are non-refundable except where required by law. You may cancel at any time; cancellation takes effect at the end of the current billing period. We may change pricing on renewal with reasonable notice. Invited users on free accounts have read-limited access until they upgrade.

5. Acceptable use

You agree not to:

• misrepresent your identity, company, role in a chain, or the goods you list;
• upload forged, altered, or stolen documents;
• circumvent sanctions, export controls, or anti-money-laundering laws;
• use the Service to facilitate trade with sanctioned countries, entities, or persons;
• scrape, reverse engineer, or interfere with the Service or its security;
• contact other users for purposes unrelated to legitimate trade discussion.

6. Sanctions and compliance

Lodfy maintains a registry of sanctioned countries and resource-country combinations and surfaces warnings on listings. These warnings are informational and do not relieve you of your own compliance obligations under OFAC, UK OFSI, EU, UN, and other applicable regimes. You are solely responsible for ensuring your transactions are lawful in every relevant jurisdiction.

7. Content and intellectual property

You retain ownership of content you upload (documents, listings, chain data). You grant Lodfy a worldwide, non-exclusive, royalty-free licence to host, process, and display that content as needed to provide the Service. The Lodfy name, logo, and platform are our intellectual property and may not be used without written permission.

8. Confidentiality

Information shared between counterparties through the Service (including chain disclosures and end-buyer information) is confidential and may only be used for evaluating and executing the relevant trade.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy of verification, and non-infringement. KYB checks reduce but do not eliminate counterparty risk.

10. Limitation of liability

To the maximum extent permitted by law, Lodfy and its affiliates will not be liable for any indirect, incidental, consequential, special, or exemplary damages, or for lost profits, lost revenue, lost data, or business interruption. Our aggregate liability for any claim arising out of or relating to the Service is limited to the amounts you paid us in the twelve months before the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold Lodfy harmless from any claim arising out of your use of the Service, your content, your trades with other users, or your breach of these Terms or applicable law.

12. Termination

We may suspend or terminate your account at any time for breach of these Terms, suspected fraud, sanctions exposure, or risk to other users. You may close your account at any time from Settings. Provisions that by their nature should survive termination (IP, confidentiality, liability, indemnity) will survive.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email or in-app. Continued use after the effective date constitutes acceptance.

14. Governing law and disputes

These Terms are governed by the laws of England and Wales. Disputes will be submitted to the exclusive jurisdiction of the courts of London, except where mandatory local law gives you the right to bring proceedings elsewhere.
